NOTICE TO ALL MEMBERS OF A SPECIAL RESOLUTION AND THE ANNUAL GENERAL MEETING
Please be advised that the club will hold a general meeting of members on Saturday 5th December.
The meeting will consider a special resolution to update the club’s constitution, present annual reports and elect management committee members.
Members are invited to nominate for the positions of club president, vice president (two positions), secretary, treasurer and general committee member.
Nominations must be received by the club no later than Saturday 7th November.
The special resolution to be considered at the meeting is as follows:
Apart from a change to the club’s name from Perth Saints Soccer Club to Perth Saints Football Club Incorporated and a small amendment to the club’s objects, both of which were approved at a special meeting of members in December 2017, the club’s current constitution has been in place for more than 10 years.
The document was written at a time when the club was much smaller and only entered men’s teams in Football West competition.
The club now enters junior and senior teams into competition, manages a substantial Mini-Roos program and has more than 700 registered players. Its profile and status are significantly different and there is a need to update the constitution to recognise the club’s changed circumstances.
We propose that members approve the new constitution that follows the guidelines of the Model Rules as recommended by the Consumer Protection Division of the Department of Local Government, Industry Regulation and Safety and specifically deals with the following:
· Expand the objects of the club to better reflect its current position and support its future growth and development.
· Clearly define the classes of membership and set out the eligibility for ordinary (voting) members.
· Improve the composition of the club’s management committee to ensure appropriate representation for all parts of the club and to provide for the effective governance and management of the club.
· Improve the rules for general meetings including the requirements for a quorum and the use of proxies.
The proposed updated constitution is available for download and/or personal printing from the club’s website and Facebook page. Members are encouraged to obtain a copy of the document before the meeting. Only a limited number of hard copies will be available at the meeting.
The meeting will be held at Melville Bowls Club on the Saturday 5th December. The meeting will commence promptly at 1pm.

Code of Conduct
Perth Saints Football Club was established in 1998 with a vision to be different to other sporting clubs. The Saints would become a club with a strong social focus and a special atmosphere that would result in the players, their families and their friends being part of a bigger group – the Perth Saints family.
Perth Saints Football Club is now 25 years old and the focus on a vibrant, social atmosphere and a family environment is as strong today as it was when the club was founded.
In support of the development and growth of the club, it is important that formal club procedures are understood, respected and applied and that all players, coaches, families, supporters and spectators adhere to the club’s codes of conduct.
This document provides some basic information about the club and sets out in simple terms the things the club expects.

This document is applicable to all Coaches, Team Managers and Committee Members (Defined Person) of the Perth Saints FC.
The Perth Saints FC Vision is to be the destination of choice in our region for people of all ages who want to play football in a supportive, friendly and community focused environment.
Our club values are Respect, Teamwork and Development.
With this in mind, the club takes the conduct of our players, members, coaches and parents seriously and the implementation of a robust Incident Reporting Process will ensure we are able to hold to account any members who breach the club’s code of conduct, or the spirit of the game.
Strategic Plan 2022-2023
The club developed its first ever Strategic Plan at the conclusion of the 2021 season following two independently facilitated workshops involving the Management Committee. The subsequent two-year plan outlines our strategic direction including what we intend to do and the measures of our success. The Strategic Plan is built on four key pillars:

Rules of Association
The Perth Saints operates under our Rules of Association (constitution), and which must be adopted by an absolute majority at an Annual General Meeting and be registered with the State Government Department of Commerce.
The constitution was most recently amended in 2017 and is the guiding document to the proper governance, transparency, and accountability of the club’s operations from the Management Committee to our members.
Annual General Meeting
The club is required to conduct an Annual General Meeting within six months of the end of our Financial Year, which is 31 October.
